§ I — Scope & who we are

What this policy covers.

Graveyard.vc is the wind-down practice of LegalForce RAPC Worldwide P.C., a California-licensed law firm operating from Menlo Park. The firm also operates Trademarkia, PatentVC, and related platforms. This Privacy Policy applies to information collected through this website (graveyard.vc) and through engagements that originate here.

It does not cover information governed separately by professional rules of conduct, attorney-client privilege, or fiduciary duty — for example, information held by us in the role of Assignee in an Assignment for the Benefit of Creditors. Those are governed by California law and the engagement letter you sign with us. Where the two regimes might conflict, the professional and fiduciary obligations take precedence.

§ II — Information we collect

What we collect.

The information we collect depends on how you interact with us. We try to collect only what we actually need.

From the Confidential Intake form

  • Your name, email, role (founder, investor, counsel, other), and a phone number if you choose to provide one
  • The company involved, its stage, runway, and the situation you describe
  • Any documents you upload — typically cap tables, debt schedules, asset lists, and recent financial statements

From email and phone communications

  • The contents of messages you send us
  • Attachments you share for assessment purposes
  • Notes from calls, where we keep them for engagement purposes

Automatically from the website

  • Standard server logs (IP address, user-agent string, page requested, time)
  • Aggregate analytics about page traffic — used to understand which content is useful and which is not

We do not knowingly collect information from anyone under 18. If you believe a minor has submitted information, please email us and we will delete it.

§ III — How we use it

What we do with it.

Information you provide is used for the purposes you sent it for:

  • Assessment. The Triage AI memo evaluates the situation you describe against ABC, restructure, sale, and Article 9 paths and produces a written assessment for you within one business day.
  • Engagement. If you decide to engage us, we use the information to scope the engagement letter, model recovery scenarios, and execute the assignment or other wind-down path.
  • Communication. We use your contact information to respond to you — and only to respond to you.
  • Regulatory and professional compliance. Where state law, court orders, professional rules, or our fiduciary duties as Assignee require us to maintain records or make notifications.
  • Operational improvements. We use aggregate, non-identifying analytics to understand which parts of the site help people most.

We do not sell your information. We do not share it with advertisers. We do not use it to target you with marketing for unrelated products.

§ IV — When we share information

Who else sees what.

Pre-engagement, the only people who see your information are practitioners on the Graveyard.vc team and, where relevant, attorneys at LegalForce RAPC who provide legal counsel. The Triage AI memo is generated within a private workspace.

If you engage us, sharing depends on the role we are playing:

  • Creditor notice. California law requires the Assignee to provide notice of the assignment to creditors and certain parties in interest. The notice identifies the company, the Assignee, and basic information about the estate. It does not include sensitive operational or financial detail beyond what the law requires.
  • Buyer outreach. Where we are running an auction or bakeoff, we share information about the assets being offered with potential buyers under non-disclosure agreements.
  • Counsel. We coordinate with the company's legal counsel and any specialized outside counsel retained for the engagement.
  • Court orders, subpoenas, regulators. We comply with valid legal process. We notify you when we can.

We use a small number of trusted vendors for hosting, email, and document storage. Each is bound by appropriate confidentiality and data-handling terms.

§ V — AI processing & the Triage memo

How AI fits in.

Graveyard.vc uses internal AI tools — including the proprietary Triage AI engine — to model recovery scenarios, surface relevant precedent, and accelerate buyer outreach. Where you submit information through the Confidential Intake or by email:

  • Information is processed within a private operational workspace, not shared with third-party model training pipelines
  • The Triage AI memo is reviewed and signed off by a human practitioner before it leaves our hands
  • We do not feed your data into public chatbots or external AI products that lack appropriate confidentiality terms

If you specifically prefer that no AI tooling be used in connection with your engagement, tell us at intake and we will discuss what is and is not feasible given the workstreams involved.

§ VI — Cookies & analytics

What runs on the page.

This site uses a minimal set of cookies and local-storage entries — primarily to remember whether you have selected the light or dark theme on previous visits. We use privacy-respecting analytics to understand aggregate traffic patterns. We do not run third-party tracking pixels, retargeting tags, or behavioral advertising scripts.

You can clear cookies and local storage through your browser at any time without affecting site functionality.

§ VII — California rights (CCPA / CPRA)

If you live in California.

Under the California Consumer Privacy Act, as amended by the California Privacy Rights Act, California residents have specific rights regarding the personal information we hold about them. These include:

  • The right to know what personal information we have collected, used, disclosed, and (if applicable) sold or shared
  • The right to request deletion of personal information
  • The right to correct inaccurate personal information
  • The right to limit the use and disclosure of sensitive personal information
  • The right not to receive discriminatory treatment for exercising these rights

To exercise any of these rights, email team@graveyard.vc with the subject line "Privacy Rights Request". We will verify your identity and respond within the timeframes required by law (generally 45 days, with one possible 45-day extension).

Some information may be exempt from deletion or correction where we are legally or professionally required to retain it — for example, records related to an ABC engagement maintained per California Code of Civil Procedure requirements, or attorney work product preserved under professional rules.

§ VIII — How long we keep records

Retention periods.

We keep records only as long as we need them, or as the law requires:

  • Intakes that did not lead to engagement: typically 12 months, then deleted on request or in our normal cleanup cycle
  • Engagement records: retained per applicable state law and professional retention requirements — for ABC engagements in California, this is typically several years following final distribution
  • Email and communications: retained for the duration of an engagement plus the applicable retention period for that record type
  • Analytics: aggregated and retained indefinitely in non-identifying form
§ IX — Security

How we protect it.

We use industry-standard technical and organizational measures to protect information — including encrypted storage, access controls limited to practitioners with a need to know, secure document handling, and regular review of vendor security posture. No system is perfectly secure. If we become aware of a security incident affecting your information, we will notify you and any required regulators promptly.

§ X — Visitors outside California

If you live elsewhere.

Our practice is California-based. If you visit this site or contact us from outside California — including from outside the United States — your information will be transferred to and processed in California. We extend the substantive privacy protections described in this policy to all visitors regardless of location, but you should be aware that California law governs.

Residents of jurisdictions with additional rights (for example, GDPR-protected jurisdictions) can email us to request information or exercise applicable rights. We respond in good faith.

§ XI — Changes to this policy

When we update.

We update this policy when our practices change, when the law changes, or when we identify something that should be clearer. The "Last updated" date at the top of this page reflects the most recent revision. Material changes will be noted in a banner on this page for at least 30 days following the change.
